Article 1. Use of the Platform

1.1. Samplesales.us allows you to advertise temporary sales (e.g. stock sales, sample sales, clearance sales, bargain sales, etc.). It also allows outlet shops and second-hand shops to advertise their sales.

1.2. Registration is required before you are allowed to use Samplesales.us. Once you have completed the registration procedure, you will be able to log into your account and start using the platform at once.

1.3. You are required to prevent your account from being accessed by unauthorised persons by means of a username and a password. It is crucial that you keep your username and password strictly confidential, particularly the password. is entitled to assume that whatever happens on your account after log-in (i.e., after your username and password have been used) is happening under your guidance and supervision. In other words, you will be held accountable for everything done on your account, unless you have reported to that another person knows your password.

1.4. Samplesales.us stores your personal details. You hereby grant us permission to use your details in any way that falls within the scope of the platform. Please consult ’s privacy statement for more information.

Article 2. Code of Conduct

2.1. You are not allowed to use Samplesales.us for any acts that violate the laws of Belgium or any other applicable legislation. This includes the uploading or dissemination, through this platform, of any information that is insulting, libellous or racist, as well as the posting of advertisements for objects that break the law, such as stolen goods or counterfeit items.

2.2. In addition, the following things are prohibited on Samplesales.us:
• the dissemination of information that breaches copyright, or the posting of hyperlinks to such information;
• the posting of images to whose use you are not entitled.

2.3. In the event that finds that you have acted in contravention of the aforementioned terms and conditions, or receives a complaint about your acting in a manner that violates the aforementioned terms and conditions, is entitled to undo the violation of its own accord.

2.4. In the event that, in ’s opinion, the performance of ’s or a third party’s computer systems or network, or the company’s platform that is being provided on the Internet, is obstructed, damaged or otherwise jeopardised, particularly due to excessive sending of emails or other data, unauthorised dissemination of personal details or activities associated with viruses, Trojans and other such software, is entitled to take any measures it reasonably deems necessary to avert or prevent this risk. More particularly, is entitled to edit your posts as it sees fit.

2.5. is entitled to report any illegal facts it has identified to the police at any time. In addition, is entitled to release your name, address, IP address and other identifiable personal information to any third party that has filed a complaint about the infringement of its rights, or of these general terms and conditions, on your part, provided that the complaint can be reasonably deemed to be sufficiently plausible, there is no other way to access these data, and the third party in question has an obvious interest in the release of the information.

2.6. If you are found to have violated our code of conduct, is entitled to recoup from you any costs it has incurred as a result of your behaviour. You hereby indemnify from any claims made by third parties in relation to any information posted by you.

Article 3. Intellectual Property

3.1. The Samplesales.us platform, the associated software and all information and images on the website are the intellectual property of . They must not be copied or used in any way without separate written permission by , except in cases in which such copying or use are legally allowed.

3.2. Any information you post or store on our platform will remain your property (or your suppliers’ property). is entitled to use this information without any restrictions, which means it is also entitled to sell this information to third parties (sub-licence) or to use it for ’s other platforms.

3.3. The right to use your information referred to in Article 3.2 does not have a fixed term and cannot be withdrawn. The right to use your information will continue to exist even after the agreement is terminated. In exceptional cases in which it is vital that discontinues its use of the information, may decide to edit or remove the information.

3.4. Once you have posted your information, you will not be able to edit or remove it.

3.5. If you send any information to , e.g. feedback regarding an error or a suggestion for improvement, you give the unrestricted and permanent right to use this information to improve its service. The same does not apply to information that is explicitly marked “confidential”.

3.6. will not inspect private data you store in or distribute through Samplesales.us, unless such is necessary for the provision of good service, or unless is required to do so by law or by a court order. In such an event, will seek to limit the amount of the information inspected to the utmost extent.

3.7. In the event that finds that your posts have been copied by third-party websites and combined with posts by others, is entitled to take legal action against this, either on its own behalf or on your behalf. Any costs incurred in this process will be borne by , but you will have to co-operate in the process if necessary. Please note that this clause is not barring you from publishing your information elsewhere. It is merely included to allow us to take action against parties who copy a substantial amount or indeed all of the information posted on Samplesales.us.

Article 4. Fee for the Platform Provided

4.1. In order to be able to provide Samplesales.us to you free of charge, allows its sponsors to advertise on Samplesales.us.

4.2. You are not allowed to prevent the advertisements on the website from being shown. is entitled to block your access to its platform if it detects that you are using an ad blocker.

Article 5. Liability

5.1. does not accept any liability for the use of the platform it is providing, except in cases of wilful misconduct or gross negligence.

5.2. hereby explicitly excludes liability for any indirect damage, consequential loss, loss of profit, loss of savings and/or any damage arising from interruption of business.

5.3. In the event of force majeure, will never be held to compensate you for any damage you may have suffered as a result. Force majeure will be taken to include disturbances or interruptions of the Internet or the telecommunications infrastructure, power cuts, internal disturbances, mobilisation, war, traffic jams, strikes, exclusion, business interruptions, disruptions in the supply chain, fire and flooding.

Article 6. Term of the Agreement; Cancellation

6.1. This agreement will enter into force as soon as you first use the platform provided by , and will remain in effect indefinitely.

6.2. If you enter into this agreement as a consumer, you will be able to cancel the agreement subject to one month’s notice, calculated from the moment on which you cancel the agreement. Business consumers can cancel their agreements subject to two months’ notice.

6.3. is entitled to terminate the agreement once you have not used the platform for an eighteen-month period. In such cases, will first send you an email reminder at the email address associated with your account.

Article 7. Price Adjustments; Revisions of Terms and Conditions

7.1. is entitled to revise these terms and conditions and to adjust prices.

7.2. will announce such adjustments and additions to the terms and conditions through its platform at least thirty days before a change comes into effect, thus allowing you to be notified.

7.3. If you choose not to accept an adjustment and/or addition, you will be free to cancel the agreement until the date on which the adjustment or addition comes into effect. If you use the platform after the date on which the adjustment or addition comes into effect, this will be construed to signify that you accept the revisions of or additions to the terms and conditions.

Article 8. Other provisions

8.1. This agreement is governed by Belgian law.

8.2. Unless otherwise required by legislation, any disputes relating to Samplesales.us will be brought to the Belgian competent court in the district in which has its registered offices.

8.3. If a provision of these terms and conditions states that a notification must be made “in writing”, this requirement will also be met in cases in which an announcement is made by email or by means of a message sent through the platform, provided that it is sufficiently evident that the message is actually from the supposed sender and that the integrity of the message has not been compromised.

8.4. The version of any form of communication or information recorded by will always be deemed to be the correct version, unless you can prove otherwise.

8.5. In the event that a provision of these terms of use is found to be void, the other provisions will retain their full effect. In such an event, the parties will draw up a new provision, or new provisions, whose intent expresses as much as possible that of the original provision(s), within legally acceptable bounds.

8.6. is entitled to transfer its rights and obligations under the agreement to a third party that purchases Samplesales.us or the associated business operations.
